Terms of Service
Effective 30 August 2026. These terms form a binding agreement between you and VouchRate Ltd (“VouchRate”, “we”, “us”). Please read section 6 particularly carefully: it explains that businesses do not own the reviews written about them.
1. Definitions
- Platform — the VouchRate websites, applications and APIs.
- Reviewer — an individual who submits a review or other feedback.
- Business — an organisation with a profile on the Platform, whether claimed or not.
- Business User — an individual acting for a Business under a subscription.
- Review Network — the aggregate body of reviews, verification records and reputation data held by us.
- Tools — the collection, analytics, widget, API and response functionality licensed to Businesses.
2. Acceptance and eligibility
By accessing the Platform you accept these terms. If you accept on behalf of an organisation you confirm you have authority to bind it. You must be at least 16 years old to create an account.
We may amend these terms. Material changes will be notified by email or a prominent notice at least 30 days before they take effect, except where a change is required by law or addresses a security risk, in which case it may take effect immediately. Continuing to use the Platform after a change takes effect constitutes acceptance.
3. Accounts
You are responsible for the security of your account and for activity under it. You must give accurate registration information and keep it current. One person may hold one Reviewer account; creating multiple accounts to submit multiple reviews of the same experience is a breach of these terms.
We may suspend or close an account that breaches these terms, that is used to manipulate reviews, or where required by law. Where we do so we will tell you why, unless prevented by law.
4. Reviewer terms
4.1 Content standards
When you submit a review you confirm that:
- it describes a genuine experience you personally had with that Business;
- you have disclosed any incentive, discount, gift or other benefit you received;
- you have disclosed any connection to the Business, including employment, ownership or competition;
- it does not contain personal data about any identifiable individual, including order numbers, addresses, telephone numbers or payment details;
- it is not unlawful, defamatory, discriminatory, harassing, threatening or obscene;
- it does not infringe anyone’s intellectual property rights;
- you are not using it, or the threat of it, to obtain a refund, discount or other benefit.
4.2 Licence you grant
You retain ownership of your review. You grant us a worldwide, non-exclusive, royalty-free, sub-licensable and irrevocable licence to host, store, reproduce, translate, adapt for formatting, publish and distribute it — including through our public API, widgets and syndication partners — for as long as it remains published.
The licence is irrevocable in the sense that we may continue to display a review you have written while it is published; it does not prevent you deleting your review or your account, which ends the licence prospectively.
4.3 Your rights over your review
- You may edit your review at any time. Prior versions are retained and the profile shows that it was updated.
- You may delete your review at any time. No Business, and no amount of payment, can cause your review to be deleted.
- You may appeal any decision we make about your review within 90 days.
5. Business terms
5.1 Claiming a profile
A Business profile may exist before it is claimed, because consumers may review a Business that has not joined. Claiming a profile requires an account and, for a verified badge, evidence of control of the domain or company. Claiming does not alter, remove or reset any existing review, rating or Trust Score.
5.2 Collection obligations
As a condition of using the Tools you agree that you will not:
- invite only customers you expect to give a favourable review, or otherwise filter your audience by predicted sentiment;
- offer any payment, discount, gift, entry to a prize draw or other benefit in exchange for a review, for a particular rating, or for removing or amending a review;
- submit reviews of your own Business, or arrange for staff, family, contractors or agencies to do so;
- submit reviews of a competitor, or arrange for anyone to do so;
- misrepresent reviews collected elsewhere as having been collected here;
- use the Tools to contact a Reviewer for any purpose other than responding to their feedback;
- threaten or pressure a Reviewer, including by threat of legal action, to alter or withdraw a review.
Breach of this clause may result in loss of the Tools, removal of affected reviews, a notice on your public profile recording what happened, and referral to the relevant regulator.
5.3 Responding and disputing
You may publish a response to any review. Responses are not moderated for tone or for disagreeing with the Reviewer; they are moderated on the same content standards as reviews.
You may dispute a review that you believe breaches our guidelines, and submit private evidence in support. A disputed review remains published while a moderator considers it. Raising disputes without proper grounds, or repeatedly disputing critical but compliant reviews, is itself a breach of these terms.
6. Ownership of reviews and the Review Network
Reviews are submitted by consumers to VouchRate and form part of an independent Review Network. Businesses receive a licence to access Tools for managing their profile and engaging with customers. A Business does not acquire ownership of any review, of the Review Network, or of any right to have a review removed, hidden, reordered or amended.
A subscription is a licence to use Tools. It confers no right to, and no influence over: the rating displayed, the Trust Score displayed, the ordering of reviews, position in search results or category listings, or the outcome of any moderation decision.
If a subscription ends for any reason — cancellation, non-payment, or termination by us — the Tools are withdrawn. The profile remains published and every review on it remains published. We will record on the profile that the Business no longer subscribes.
We own the database rights in the Review Network, the compilation and arrangement of reviews, and all verification, scoring and reputation data derived from them. This is explained in plain terms here.
7. Moderation, ratings and Trust Scores
Reviews are subject to automated checks and human moderation as described in our moderation policy. No review is removed by an automated system alone. Every removal records a written rationale, which is sent to the Reviewer, and may be appealed.
Ratings and Trust Scores are calculated by a published method which we apply uniformly. We do not adjust an individual rating or Trust Score by hand, on request, or for payment. The methodology is at /transparency/rating and /transparency/trust-score.
We do not verify the factual accuracy of reviews and do not endorse them. A verification badge asserts only what it states — that a dealing occurred — and not that the opinion expressed is correct.
8. Subscriptions and payment
- Fees are as shown on our pricing page at the time of purchase, exclusive of VAT unless stated.
- Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
- You may cancel at any time, effective at the end of the current period. We do not refund part-periods except where required by law.
- We may change fees on 30 days’ notice, taking effect at your next renewal.
- If payment fails we may suspend the Tools after notifying you. Your profile and reviews are unaffected.
Consumers do not pay for the Platform. Where you are a consumer contracting at a distance, statutory cancellation rights apply in addition to the above.
9. Acceptable use
You must not:
- access the Platform by automated means except through our documented API and within its rate limits;
- scrape, harvest or bulk-extract reviews or reputation data other than through the API;
- circumvent, probe or test our security, rate limiting or fraud detection;
- impersonate any person or business, or misrepresent your affiliation;
- use the Platform to harass, intimidate or expose the personal data of any individual;
- introduce malicious code, or interfere with the Platform’s operation.
10. Intellectual property
The Platform, its software, design, trade marks and the VouchRate name are owned by us or our licensors. We grant you a limited, revocable, non-transferable licence to use the Platform in accordance with these terms. Business logos and trade marks displayed on profiles remain the property of the respective Businesses and are used for identification.
11. Disclaimers
The Platform is provided “as is”. Reviews are the opinions of the individuals who wrote them. We do not warrant that any review is accurate, complete or fair, and we are not a party to any dealing between a Reviewer and a Business.
We do not warrant that the Platform will be uninterrupted or error-free. To the fullest extent permitted by law we exclude all implied warranties.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
Subject to that: we are not liable for loss of profit, revenue, business, goodwill, anticipated savings or reputation, or for indirect or consequential loss. Our total aggregate liability arising out of or in connection with these terms is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose, and (b) £100.
If you are a consumer, these terms do not affect your statutory rights, and this clause applies only to the extent permitted by consumer law.
13. Indemnity
If you are a Business or Business User, you will indemnify us against claims, losses and reasonable costs arising from your breach of these terms, from content you submit, or from your use of the Tools in a manner that misrepresents your reputation.
14. Suspension and termination
We may suspend or terminate access where you materially breach these terms, where we reasonably suspect review manipulation, or where required by law. Where practicable we will give notice and an opportunity to remedy.
Termination does not remove reviews already published. Sections 6, 10, 11, 12, 13 and 16 survive termination.
15. Complaints and notices
Complaints about the Platform: support@vouchrate.co.uk. Legal notices, including notices of alleged defamation or infringement: legal@vouchrate.co.uk. We aim to acknowledge legal notices within five working days.
16. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the UK you may also bring proceedings in your local courts.
